Affiliate Agreement

Products received through the Ambassador Program — including gifted items or discounted purchases intended for promotional use — may not be resold, auctioned, or listed for resale on any marketplace, including but not limited to:

• eBay
• Mercari
• Poshmark
• Facebook Marketplace
• or similar platforms

Ambassadors must maintain authentic and organic audiences. The use of purchased followers, bots, automated engagement tools, or engagement pods intended to artificially inflate social media metrics is strictly prohibited.

This program is currently open to United States-based ambassadors only, including U.S. territories.

Ambassadors agree to promote Specks & Pets products in a positive and authentic manner. Approved promotional channels include:

• Instagram
• TikTok
• YouTube
• Personal blogs or websites
• Email newsletters (non-spam)

Ambassadors must comply with all applicable federal, state, and local laws related to marketing and advertising.

All promotional content must clearly disclose the relationship with the brand using:

• #ad
• #affiliate
• #specksambassador
• or other clear disclosure language

Ambassador agrees not to post content that, in the sole discretion of Specks LLC:

• Is sexually explicit, pornographic, or contains nudity
• Contains excessive profanity or offensive language
• Promotes illegal activity or illegal drugs
• Promotes tobacco, firearms, or weapons
• Promotes dangerous activities involving pets
• Contains hate speech, discrimination, or harassment
• Defames or disparages other people or companies
• Misrepresents Specks & Pets products
• Violates any applicable law

Ambassador agrees to hold Specks LLC, its officers, employees, agents, and affiliates harmless from any liability, claims, damages, or expenses arising from the Ambassador's promotion or use of Specks & Pets products.

This Agreement does not create an employer–employee relationship. Ambassadors are independent participants and are responsible for their own taxes and compliance with applicable laws.

Ambassadors may receive confidential information related to Specks LLC, including but not limited to:

• Upcoming product launches
• Marketing plans
• Product prototypes
• Pricing strategies

Ambassador retains ownership of any original content they create, including photos, videos, captions, and social media posts.

Ambassador represents they have the legal right to license the content they publish and that it does not infringe upon any third-party rights. Specks LLC is not responsible for disputes involving unauthorized third-party intellectual property.

Net Sales are defined as sales excluding:

• Discounts
• Shipping
• Refunds
• Taxes
• Store credit

Commissions will not be paid on an ambassador's own purchases. Specks LLC reserves the right to reverse commissions for returned orders, cancel commissions for fraudulent transactions, and reject orders that cannot be fulfilled.

The following activities are strictly prohibited:

• Self-referrals or self-purchases for commission
• Fraudulent orders or fake transactions
• Use of bots or automated traffic
• Misleading advertising
• Unauthorized paid advertisements using the Specks brand name

Participation begins upon acceptance and continues until terminated. Either party may terminate this Agreement at any time with or without cause. Specks LLC reserves the right to remove ambassadors who:

• Violate program terms
• Damage brand reputation
• Engage in fraudulent activity
• Fail to remain active in the program

This Agreement shall be governed by the laws of the State of California. Any disputes arising out of this Agreement shall be subject to the jurisdiction of the courts located in California.

Specks LLC reserves the right to modify the terms of this Agreement at any time. Continued participation in the program after changes are made constitutes acceptance of the updated terms.

This Agreement constitutes the entire understanding between Specks LLC and the Ambassador and supersedes all prior agreements, communications, or understandings.
